Job Purpose

The Legal Counsel provides comprehensive legal support to the bank’s daily operations, focusing on litigation, corporate governance, banking law, corporate finance, and credit documentation. Reporting directly to the Head of Legal & Company Secretary, this role manages court representation, oversees external advocates, advises on labor and regulatory compliance, and assists in loan recovery processes to safeguard the bank’s assets.

Key Responsibilities & Accountabilities
  • Litigation & External Counsel Management:

    • Draft court pleadings, legal submissions, and represent the bank in courts of law and tribunals across Tanzania.

    • Coordinate with external legal counsel on active litigation cases, monitoring prosecution of fraud, recovery cases, and third-party claims.

    • Maintain precise case management resources and compile weekly and monthly litigation status reports for executive leadership.

  • Credit Documentation & Loan Recovery:

    • Draft, review, and perfect credit, grant, and loan security instruments including mortgage deeds, debentures, personal/corporate guarantees, and hypothecation agreements.

    • Assist the credit recovery unit in enforcing securities and recovering defaulted loan facilities in compliance with local laws.

  • Corporate Governance, Contracts & Advisory:

    • Draft, review, and negotiate commercial contracts, vendor agreements, and internal institutional policies.

    • Issue clear legal opinions on local banking, microfinance, and commercial laws to guide operational decisions.

    • Assist in preparing regulatory filings and statutory communications for the Bank of Tanzania (BOT) and other supervisory bodies.

  • Labor Law & Operational Compliance:

    • Advise the institution on employment and labor law matters to ensure full compliance with Tanzanian labor statutes.

    • Review employment contracts, employee handbook policies, and statutory authority registration requirements.

Candidate Qualifications & Competencies

Education & Professional Certifications:

  • Educational Background: Bachelor of Laws (LL.B.) degree from a recognized university.

  • Professional Status: Duly Admitted Advocate of the High Court of Tanzania (active practicing license required).

Work Experience & Skills:

  • Experience Level: Minimum of 3 years of post-qualification legal experience in a reputable law firm, commercial bank, microfinance institution, or busy corporate legal department.

  • Computer Literacy: Advanced proficiency in standard office applications (MS Word, Excel, PowerPoint) and legal management systems.

  • Skills: Strong litigation, contract drafting, analytical, negotiation, and cross-functional training skills.
