Job Purpose

The Governance Manager serves as the steward of organizational integrity and governance excellence. This role strengthens Board and committee operations, ensures legal and statutory compliance across Ubongo’s operating jurisdictions (Tanzania, USA, South Africa), and maintains operational transparency and alignment between the Board of Trustees and Executive Leadership.

Key Responsibilities

• Board Governance Management:

  • Perform company secretarial duties for Ubongo International, Ubongo Learning, and Ubongo South Africa (drafting work plans, taking minutes, drafting resolutions, and organizing trustee elections/orientations).

  • Develop, update, and maintain governance frameworks, board policies, charters, and delegations of authority compliant with local and international laws.

  • Lead board member onboarding, engagement, rotation planning, and governance training programs.

  • Manage performance assessment frameworks for the Board and CEO, tracking key performance indicators.

  • Administer the board governance software platform and provide legal/regulatory guidance to the Board.

• Operational Governance:

  • Ensure full compliance with local NGO laws, registry mandates, and statutory reporting obligations.

  • Identify operational risks, oversee internal governance audits, and maintain public and donor transparency.

  • Establish accountability structures, define partnership governance tiers, and deliver data-backed assurance summaries to the Board.

  • Advise Objective Key Results (OKR) functions on compliance and foster an organizational culture of integrity.

• Company-Wide Responsibilities:

  • Exemplify Ubongoer principles, norms, and mission-driven values.

Qualifications & Experience

• Education: Bachelor’s degree in Law, Business, Accounting, Management, or Finance; OR professional governance certification (e.g., CCEP, ICSA/CGi, CGEIT, ICA).

• Experience: Minimum of 5 years of experience in corporate governance, risk management, or regulatory compliance.

• Legal & Regulatory Knowledge: In-depth understanding of non-profit governance frameworks in Tanzania. Knowledge of South African or US/Texas non-profit regulations is highly desirable.

• Core Competencies: Proven board engagement skills, project management, internal auditing, strategic planning, dynamic facilitation, and clear cross-border communication.
