Job Purpose:

Develop and maintain close relationships with the broader lending, structured trade finance and co-financier community with a view to facilitating the syndication and Debt Advisory of sovereign (public sector) and non-sovereign (private sector) borrowing customers and originate (in consultation with the sector teams) and execute syndication and debt advisory transactions/services across Wholesale Banking customers.

Main Responsibilities:

Strategic Focus

In collaboration with the sector teams, identify potential targets for syndication, Projects Financing and debt advisory services and discuss with the sector teams on pitching.
Fully manage the syndication and Debt advisory process with external partners including commercial Banks, other Development Finance Institutions (DFIs), public and private co-financing partners, institutional investors etc
Execute syndicated loan transactions, sharing responsibilities where appropriate with co-arrangers including, performing market soundings and providing risk appetite feedback to senior management for their consideration, assisting with various aspects of organizing roadshow presentation on a deal-by-deal basis with relationship managers.
Creatively and proactively, strive to ensure the effective utilization, implementation and management of the Bank’s existing and future co-financing/Club deal facilities and partnership arrangements.
Build strong internal and external relationships with all the partners involved in the syndication and co-financing transactions.
Coordinate with key internal counterparts (Credit Assessment team, Sector Departments and project Task Managers among others) to identify syndication and co-financing opportunities in the Bank’s pipeline.
Manage/coordinate one or more co-financing facilities or partnership arrangements as may be assigned, serving as primary point of contact and representative of the NMB Bank to the partner institutions in all matters related to the facilities in question.
Manage and update the pipeline report on a weekly basis.
Design, maintain and update all presentations, pitch books, communication and marketing material to internal or external parties.
Manage and update various documents relating to each transaction such as the working party list, roles and responsibilities of each party, and work plan/timetable.
Maintain and be accountable for all documentation requirements and record keeping on a deal-by-deal basis.
Actively participate in the mobilization efforts of the Bank including structuring debt and structured trade finance at origination, identifying funded/unfunded participation opportunities at transactions origination, structuring asset sell down transactions at origination and use any other applicable instruments to catalyze financing of transactions at origination.
Prepare pricing notes on transactions across all sectors, financial analysis, models validation, valuations relating to clients.
In consultation with the sector teams, conduct due diligence investigations of clients.
Support and where possible, undertake the preparation of detailed memoranda and presentations describing the key attributes of client companies.
Contribute constructively to the design and development of new syndication/co-financing facilities/arrangements.
Contribute constructively to the formulation and review of relevant Bank policies, rules and procedures.

People Focus

Coach Relationship Managers and the origination team in all aspects of daily work and ensure that the team communication is open and ongoing.
Build relationships with Segment heads, Client Originators and Relationship Managers to improve quality of business proposals and turnaround time on, project finance, Syndications, and club deals.
Share joint credit responsibility for business.
Ensures availability of the service to the wholesale banking team.

Operations Focus

Proactively drive review process of existing syndications and project financing facilities ensuring consistent, thorough and timely evaluation of all existing facilities.
Oversee disbursement of the approved funded and non-funded under Syndications & project financing
Monitor all Conditions precedent, conditions subsequent and financial covenants as per approval of funded and non-funded under Syndications & project financing.
Detects and evaluates shifts or changes in key parameters in a business relationship or industry and evaluates the implications of such changes on continued business dealings.
Review the correctness of data and information obtained including financials & Non financials before sending to Decision maker.
Plan and implement annual credit reviews for the portfolio under Syndications & project financing
Monitor of daily referrals to ensure that clients’ facilities are managed within the parameters set by credit exercising discretion regarding account conduct based on a close knowledge and understanding of client activities.
Ensure full compliance, provide oversight as well as monitor the implementation of various consumer protection requirements across business area/Unit

Knowledge and Skills:

  • Knowledge in project structuring, financial modeling, validation and financial analytics.

Qualifications and Experience:

  • Bachelor’s degree in business related fields.
  • Master’s degree or professional certification in related fields will be an added advantage.
  • At least ten (10) years of experience in the banking sector.
  • Experience in public and private sectors and understanding of different instruments including funded and unfunded participations, asset sell down etc.
  • Experience in structuring and negotiating complex syndication/co-financing documentations and guidelines.
