Zambia Cargo & Logistics Limited (ZCL) was established in April 2001. ZCL is a wholly owned state enterprise of the Government of the Republic of Zambia, supervised by the Industrial Development Corporation (IDC) based in Lusaka. The Company’s current corporate Head Office and its main operating centre, Mukuba Depot, is located in Kurasini area, in Dar es Salaam, Tanzania next to the dockyard.
The Company has been handling mainly mineral cargo, especially copper, but over the years the Company has diversified its revenue base to include agricultural related cargo and other general cargo.
The Company now has a vacancy for the position of Legal Counsel & Company Secretary.
Legal Counsel & Company Secretary Position
Department : Administration
Grade : Management
Reports : Directly to the Chief Executive Officer
Scope of the Position
Responsible for ensuring that the Company complies with standard financial and legal practice and maintains standards of corporate governance.
To act as a point of communication between the Board of Directors and Management, reporting in a timely and accurate manner on Company procedures and developments. He or She ensure the implementation of decisions made by the Board of Directors.
Responsible for ensuring the Company compliance with the statutory and regulatory requirements.
Key Roles and Responsibilities
Manages all Board and Committee meetings’ logistics, attends and records minutes of all Board and Committee meetings, and facilitate Board communications. He or She would perform secretarial duties to the Board of Directors.
Maintains all key Company documentation and records.
Ensures compliance obligation under relevant laws and requirements of regulatory authorities are
Serves as focal point for investor communication and engagement on corporate governance issues.
Manages contractual arrangements with suppliers/ customers.
Provides legal advice on all Company matters during and outside Board and Management meetings.
To represent the Company in all legal matters filed in the courts of law in Tanzania.
Monitors changes in relevant legislation and the regulatory environments and proactively offer advice to the Company accordingly.
Developing and overseeing the systems that ensure the Company complies with all applicable codes, in addition to its legal and statutory requirement.
To complete and summit a standard form of Company Annual Returns to the Tanzanian Registrar of Companies (BRELA).
Custodian of the Company seal.
Performs any other official duties as may be assigned by the Chief Executive Officer from time to time.

Ability to work in multidisciplinary and multi-cultural environment is essential.
Minimum Qualifications and Work Experience
Bachelor’s Degree in Law from a recognized university.
A thorough understanding of a Company’s business.
Good working knowledge of company and business law.
Ability to mediate and assist in achieving consensus Flexible and creative.
Must be computer literate.
A registered member of the Corporate Governance Institute in Tanzania and internationally is an added advantage.
Must have at least three (3) years’ work experience as Legal Counsel Company Secretary in reputable organization.
Must be a registered Advocate of the High Court of Tanzania.
Must be able to practice law in Tanzania.
